RH Q2 results: tariff refunds lift margins as Q4 execution risk builds

RH Q2 results: tariff refunds lift margins as Q4 execution risk builds visual

RH (NYSE: RH) reported its second-quarter fiscal 2026 results on September 10 for the quarter ended August 1. Revenue was $922.2 million, up 2.6% year over year. The result was accompanied by adjusted EBITDA of $178.5 million, or a 19.4% margin. For options traders, the useful question is how much of the margin outcome reflects the operating business, how much reflects a discrete tariff refund, and whether management’s projected fourth-quarter acceleration can arrive on schedule.

The company reported GAAP net income of $60.2 million and EBITDA of $168.3 million, a margin of 18.3%. EBITDA and adjusted EBITDA are non-GAAP measures. Its adjusted EBITDA reconciliation reached $178.5 million. RH then removed a $55.1 million IEEPA tariff-refund benefit to calculate normalized adjusted EBITDA of $123.5 million, or 13.4% of revenue. The unrounded reconciliation is $178.549 million less $55.089 million, equaling $123.460 million. The 600-basis-point benefit described by the company is also consistent with $55.1 million divided by $922.2 million, or about 6.0 percentage points.

The prior-year adjusted EBITDA margin was 20.6%, with no comparable tariff-refund deduction in the reconciliation. Both the current 19.4% adjusted margin and the 13.4% normalized margin were below that level. That comparison tempers the revenue-growth headline. Revenue growth was positive and management said normalized adjusted EBITDA margin exceeded the high end of its quarterly guidance. Yet the reported 19.4% adjusted margin included a material, discrete benefit. Removing that benefit is a useful comparison point for assessing underlying performance, but it is not a guaranteed forecasting baseline for future quarters. Normalized adjusted EBITDA remains a company-defined non-GAAP measure and may not be comparable with another retailer’s similarly named metric.

Tariff recognition and the full-year offset

The tariff benefit reaches earnings over more than one quarter. RH said it recognized $55.1 million in the quarter from an application for a total refund of about $69 million. It also recognized $14 million as a reduction of costs in merchandise inventories and expects that benefit to reach gross margin during the third and fourth quarters. Management expects to recognize the remaining approximately $13.9 million benefit in the second half. Across the approximately $69 million total benefit, cash receipt and earnings recognition occur on different schedules. It plans to use $50 million of those total proceeds to offset unplanned supply-chain costs, with the remaining approximately $19 million benefiting earnings and included in the updated fiscal 2026 adjusted EBITDA-margin outlook. These are management statements about expected recognition and use; they are not a guarantee that the cash timing, accounting timing, and earnings effect will match in every period.

Why It Matters For Options Traders

RH’s updated fourth-quarter outlook is the central event-risk variable. Management projects fourth-quarter revenue growth of 16.1% to 21.2% and an adjusted EBITDA margin of 19.7% to 22.9%. The stated revenue bridge assigns 6.5 points to backlog reduction, 8.0 points to RH Estates, and 4.0 points to new Galleries and other sources. The bridge is an expectation, not a reported result. Backlog conversion requires inventory availability and fulfillment, while a new collection and newly opened locations still have to turn interest into orders, shipments, and recognized revenue.

The full-year outlook provides a useful constraint on that story: revenue growth of 5.5% to 7.0%, adjusted EBITDA margin of 15.0% to 16.2%, and $300 million to $400 million of free cash flow, asset sales, and distributions of equity-method investments. The full-year cash figure is deliberately broader than free cash flow alone. It should not be read as a forecast of free cash flow by itself, and it should not be compared with Q2’s $72.3 million cash-generation figure as though the definitions were identical.

For an options trader, the practical issue is the distribution of possible outcomes rather than a directional conclusion. A contract expiring around the next earnings date can respond to the gap between the market’s implied move and the eventual combination of revenue growth, normalized margin, tariff benefit, backlog conversion, and forward guidance. The filing does not provide an implied move, option prices, implied volatility, or a price target, so those inputs must be checked separately in live market data. An option expiring before a later operating milestone cannot capture its eventual outcome directly, even though changing expectations can move its price beforehand.

Leverage and the investment cycle

RH’s debt and investment spending add another layer of risk. At August 1, 2026, RH reported total debt of approximately $2.387 billion, cash and cash equivalents of $125.5 million, total net debt of $2.261 billion, and trailing-twelve-month adjusted EBITDA of $540.4 million. The resulting net-debt-to-TTM-adjusted-EBITDA ratio was 4.2. RH’s debt definition excludes a $15 million non-recourse real-estate loan. Management expects adjusted capital expenditures to fall from $240 million-$260 million in 2026 to $175 million-$200 million in 2027 and Gallery-opening costs to fall from $48 million to $18 million. Lower future spending could support returns on invested capital, but it does not remove the execution risk from international expansion, housing demand, oil costs, or the new Estates rollout.

Common misunderstandings and caveats

First, 19.4% adjusted EBITDA margin is not the same as normalized operating performance. The company itself removes the $55.1 million IEEPA benefit and reports 13.4% normalized adjusted EBITDA margin. The normalized figure is not GAAP, and RH says its non-GAAP measures may differ from measures used by other companies.

Second, $72.3 million of “cash generation” is not Q2 free cash flow. RH’s Q2 table defines free cash flow as net cash provided by operating activities less capital expenditures: $145.2 million less $45.6 million, or $99.6 million. The separate cash-generation highlight includes free cash flow and a $42.0 million Aspen distribution, while excluding $69.2 million of cash received for tariff refunds. The $72.3 million highlight therefore combines cash-flow categories and excludes a cash receipt that is already reflected in operating cash flow; it should retain RH’s stated definition.

Third, the fourth-quarter growth range is a forecast with specified contributors, not evidence that those contributors have already landed. RH also says its full-year adjusted EBITDA margin outlook includes an approximate negative 340-basis-point impact from pre-opening and startup costs for international expansion. The Q4 outlook includes an approximate negative 190-basis-point impact. Those costs can matter to margin interpretation even if revenue growth accelerates.

Finally, the filing contains forward-looking statements about demand, backlog, inventory, tariffs, the housing market, and international expansion. Actual results can differ. Options add expiration, time-decay, volatility, spread, assignment, and liquidity risks. This is not financial advice. Options trading involves risk and is not suitable for all investors.
